These Terms of Service (the "Terms") represent a legal agreement between you ("you," "your") and Kayyel, Holding Limited . ("Kayyel," "we," "our," or "us"), a company registered in [Saudi arabia and ADGM]. Kayyel offers a variety of services, including but not limited to the Kayyel Rewards Program (the "Program"), accessible through our websites and mobile applications ("App"), along with access to other web-based applications, (collectively referred to as the "Services"). Kayyel owns and operates all aspects of the Services. We encourage you to thoroughly review these Terms before utilizing our Services. By accessing and using the Services, you explicitly agree to follow and be bound by these Terms, as well as all policies, guidelines, and terms referenced herein. If you disagree with any part of these Terms, please discontinue using the Services.
Our Program
Interaction with Participating Partners
The Kayyel Rewards Program allows you to engage with participating partners to earn points and/or bonus points. By using our App, website, or participating in the Program, you authorize Kayyel to share the personal information you provide during registration and while earning rewards with all participating partners, regardless of your direct interaction with each partner. The benefits you receive from participating in the Program depend on the nature and extent of your interactions with our partners. Additionally, by submitting receipts, participating in challenges, or completing surveys offered by a partner, you agree to engage with all participating partners who offer points in our Program. Our partners may contact you, including via email, and process your personal information according to their privacy policies. Kayyel is not responsible for such communications or policies.. If you wish to stop sharing your information with participating partners, you may discontinue using the Services and delete your account at any time.
Personal Use Only
The Services are strictly for personal use, and you may not resell, lease, or offer them to any third party. You must be of legal age in your jurisdiction to use the Services. Kayyel does not knowingly collect or store personal information from children under 13 years old, and the Services are not intended for individuals under this age.
Your Account
Registration; Account Information
Subject to your continued compliance with these Terms, you may create a single account with Kayyel. If you have previously been suspended, removed, or deactivated from the Services, you are not allowed to create or register a new account. You agree to (a) provide accurate, current, and complete information about yourself as requested during registration ("Account Information"); and (b) promptly update any Account Information provided to Kayyel to maintain its accuracy and completeness. Failure to do so may result in the loss or damage of which Kayyel is not responsible. You may upload a profile photo to your account, and by doing so, you grant Kayyel a perpetual, irrevocable, non-exclusive, royalty-free, worldwide, fully-paid, and sublicensable license to use, reproduce, display, modify, adapt, and create derivative works from these photos or materials. You represent and warrant that any photo or material you upload is your own or that you have the right to upload it.
Account Security
When creating an account, you will choose a username and password or another device authentication method. You are responsible for maintaining the security of your account credentials and for supervising any use of your account. If you suspect unauthorized access or use of your account, please notify us immediately via the contact information provided below. You may not share or transfer your account or password to others. We will assume that any activity on your account is carried out by you.
Account Inactivity
Your account will be considered inactive, and any unused points will expire if you either request to stop participating in the Program or fail to do one of the following within any ninety (90) day period: a) submit and fully process a receipt for points using the Services, or b) redeem points for a reward. After sixty (60) days of inactivity, Kayyel will send you a thirty (30) day notice via email or text to notify you that your account will become inactive, and your points will expire. Before your account becomes inactive, you may prevent your points from expiring by either (i) logging into your account and successfully submitting a receipt for points, or (ii) redeeming your points for a reward. Expired points cannot be recovered, but you can reactivate your account by logging in and submitting a receipt. By reactivating your account, you agree to abide by the current Terms.
Points and Rewards
How to Earn Points
The Kayyel App allows you to participate in the Program by engaging with our partners to earn points (“Points”) for purchasing qualifying brands, completing special offers (“Offers”), or engaging in other activities like surveys, entering referral codes, or completing other activities as outlined in the App or Program. Not all users may qualify to earn points from all brands; for reasons such as brand trials, audience targeting, or experimentation, users may not earn points for every brand. To earn points, any receipt you submit must contain a detailed description of the product sufficient to confirm that a qualifying purchase was made. By submitting a receipt to Kayyel, you permit us to process the information and identify the qualifying products listed. If you purchase a product or engage in an offer eligible for points, and the receipt clearly describes the qualifying product, we will award you the points in accordance with the offer. Please note that we may not accept receipts from some retailers, and points will not be awarded for transactions older than 14 calendar days. Kayyel may also limit the number of receipts you can process within a given timeframe, as indicated in the Services.
Receipt Requirements and Usage
Receipts submitted through the Kayyel app must meet the following criteria:
- The receipt must be clear and legible.
- It should include the supermarket name, date, and time of the transaction.
- The receipt must display the Zakat and VAT bar code (كود الزكاة والدخل).
- The supermarket bar code should be clearly visible.
- Receipts must be submitted within 15 calendar days from the date of the transaction. Kayyel will not accept or process receipts older than 15 days.
Each receipt can only be used once in the Kayyel app. Once a receipt is submitted, it cannot be reused, resubmitted, or shared for any other transaction within the app. Any attempts to reuse the same receipt will result in rejection and may lead to further investigation. Kayyel reserves the right to take appropriate action in cases of suspected fraudulent activity.
Redeeming Points for Rewards
Once your Points balance reaches the Minimum Redemption Amount (the minimum number of Points required to redeem a reward, subject to change at Kayyel's discretion), you may exchange your Points for rewards. Points have no value outside of their use for reward redemption. Points do not earn interest, and redemption does not happen automatically.
Points may be redeemed for Rewards at the rate indicated in the Services at the time of redemption. Kayyel does not guarantee the availability of any specific Reward or Offer for any user or product at any given time. Furthermore, not all Rewards or Offers may be accessible to all users at all times, and certain Rewards or Offers may only be available to specific users. The availability of Rewards or Offers may change without notice. Kayyel reserves the right to modify, remove, discontinue, or otherwise alter the Rewards or Offers at any time.
Redemption Process
When you request to redeem Points for a Reward, you must select the Reward you wish to receive, such as a gift card or other available product, within the App. Once the redemption request is approved and the Reward is authorized by us, your Points balance will be reduced by the amount corresponding to the selected Reward. All Rewards are non-refundable and cannot be returned or canceled, unless specifically stated in-app. Kayyel is not responsible for any loss or delay of a Reward once Points have been redeemed. Points Have No Cash Value and Cannot Be Transferred
Kayyel users do not hold any ownership rights over Points, and Points may only be used as described in these terms. Points have no cash, monetary, or alternative value, and cannot be redeemed for cash, either in full or in part. Your Points balance, or any portion thereof, cannot be transferred, divided in settlements, legal proceedings, or in the event of death, nor can it be combined with Points from other Program members. Points cannot be sold, brokered, bartered, pledged, gifted, or attached in any form. Expired Points are not redeemable, and to redeem Points, you must maintain an active membership in the Program.
Accuracy of Receipt Scanning and Item Information
Please note that receipt scanning technology may not always be 100% accurate. If any item is incorrectly identified, such as the product name, size, or price, please use the designated in-app process to resolve the issue. If the problem persists, contact our support team for further assistance. Certain types of receipts may not be eligible for correction via the in-app process, and there may be a limited timeframe, as specified in the App, during which you can correct your receipt(s). It is your responsibility to review your scanned receipt for accuracy. Kayyel, its affiliates, participating brands, and retailers are not responsible for any inaccuracies in this process. Your sole remedy is to use the in-app correction process or reach out to our support team.
Our Digital Receipt Program
Description and Terms of the Digital Receipt Program
The Digital Receipt Program, referred to as "eReceipts" within the Services, is currently the exclusive method for earning Points from online purchases or digital receipts. To participate, you must link your email account(s) or digital consumer accounts (e.g., your Amazon account) where you receive receipts to the Kayyel App using the provided in-app procedure. By doing so, you authorize Kayyel to act as your agent to access relevant receipts from these accounts and process the receipt information through our Services on your behalf. You permit Kayyel to access your email or consumer account, including those from stores or websites where products eligible for Points are purchased. By providing your email or consumer account login credentials, you confirm that you are authorized to grant Kayyel this access. Any information from these emails or digital receipts will be handled and processed similarly to information submitted through paper receipts, as outlined in these Terms and our Privacy Policy. Kayyel prioritizes the security of your login credentials, which are stored on your device rather than on our systems. Please be aware that Kayyel is not responsible for the security of your mobile device.
Referral Program
Description and Terms of the Referral Program
Kayyel may, at its sole discretion, offer bonus Points, Points, or other rewards through a Referral Program when a new user referred by you becomes a Kayyel Program user. Any Referral Program will be subject to additional terms and conditions outlined in the offer or the App. Upon participating, you will receive a referral link, pre-formatted text related to Kayyel, and a referral code to share with your friends. It is entirely your choice how and to whom you send the link, pre-formatted text, and referral code. Please note that Kayyel does not collect any information about your friends in connection with the Referral Program, and we do not send referral codes on your behalf. You are responsible for obtaining any necessary permissions from the individuals you refer and informing them that: (a) Kayyel is not the sender or initiator of any messages related to the Referral Program; (b) you are not acting as Kayyel’s agent when sending such communications; and (c) you may receive a referral bonus if they become a new Kayyel user. Existing or former users of the Services do not qualify as new users for the purposes of the Referral Program. Any attempts to create referrals for fictitious individuals or multiple accounts for the same individual will be considered a violation of these terms. We reserve the right to void or take appropriate action regarding referrals, including those shared in social media posts or from social media accounts containing offensive, harassing, violent, pornographic, or otherwise inappropriate content. Kayyel reserves the right to discontinue or revoke any Referral Program at any time without prior notice and may decline to award referral bonuses, rescind credited bonus Points, or take other actions related to the Referral Program.
Refer a Friend
When participating in our "Refer a Friend" program, you will be designated as an "advocate" for the friend you refer. If your friend signs up using the referral code you provided, you will receive Points as specified in the offer after your friend successfully scans their first receipt. We will inform your friend that you, as their advocate, received Points for the referral. Additionally, we will notify you when your friends sign up and when they scan their first receipt.

Transactional Messages
Kayyel may send transactional text and/or SMS messages to the phone number you provided during registration or any updated contact information. These messages may include important notices such as order confirmations, delivery updates, and account security notifications.
Consent for Verification
To ensure the security of your account, Kayyel may send a one-time passcode via SMS from a designated number. This passcode is used to verify your phone number associated with your account.
Opting Out
You can cancel the SMS service at any time by texting "STOP" to the provided short code. After sending the "STOP" message, you will receive a confirmation SMS stating you have been unsubscribed. Following this, you will no longer receive SMS messages from us. If you wish to rejoin, simply sign up again, and we will resume sending SMS messages.
Assistance and Support
For help with the messaging program, reply with the keyword "HELP" for more assistance or reach out to our support team at support@kayyel.com.
Carrier Responsibility
Please note that carriers are not liable for any delayed or undelivered messages. If you experience difficulties with message delivery, please contact your wireless provider.
Message Rates
Standard message and data rates may apply to both outgoing and incoming messages between you and Kayyel. Message frequency may vary. For any questions regarding your text or data plan, please contact your wireless provider.
Privacy Concerns
For questions or concerns about privacy, please refer to our Privacy Policy, which explains how we handle and protect your personal information.
Marketing Messages
Kayyel will seek your separate consent before sending marketing text or SMS messages. The necessary information regarding marketing messages will be provided when obtaining your consent.
Prohibited Conduct and Content
By using our App or Services, you agree not to engage in the following activities:
- Violate any applicable laws, contracts, intellectual property rights, or commit torts.
- Engage in harassment, threats, intimidation, predatory behavior, or stalking.
- Use or attempt to use another user’s account or information without proper authorization.
- Attempt to access or acquire unauthorized information about others on the App.
- Impersonate any person or entity or misrepresent your affiliation with them.
- Circumvent any content-filtering techniques used by Kayyel or attempt to access restricted areas of the App.
- Use data mining, robots, or similar methods to scrape or extract information from our Services.
- Send, distribute, or post spam, unsolicited commercial communications, chain letters, or pyramid schemes.
Miscellaneous
Kayyel Additional Terms
Kayyel reserves the right to take action against any unauthorized or fraudulent activity. This may include the deduction of Points, account termination, and the pursuit of legal remedies. Unauthorized activity includes actions intended to deceive or manipulate the system to acquire Points in violation of these Terms. Examples include creating fake receipts, submitting altered receipts, or engaging in fraudulent purchase and return schemes. If you believe Kayyel has taken unauthorized action against your account, you may dispute it by contacting us at support@kayyel.com within thirty days. Engaging in fraudulent activity is a violation of these Terms.
Communication with You
We will send notices to the email address provided in your registration data. You may receive push notifications, text messages, alerts, emails, or other forms of communication from Kayyel or our partners. You have the option to adjust your message settings, but certain transactional messages cannot be unsubscribed from. It is your responsibility to keep your contact information up to date.
Privacy Policy
For information on how Kayyel collects, uses, and discloses personal information, refer to our Privacy Policy. By using our Services, you consent to the collection, use, and disclosure of your personal data as described in our Privacy Policy. You can review the Privacy Policy at: [insert link].
Intellectual Property
The Services, including all text, images, logos, and other content, as well as the Kayyel name and design elements, are the property of Kayyel or its licensors. All rights are reserved. No license or rights to use any patents, trademarks, copyrights, or other proprietary rights are granted without prior written permission.
Limited Usage Rights
Kayyel grants you a personal, non-commercial, limited, non-exclusive, non-transferable license to access and use the Services, subject to the following conditions:
- You may view, copy, and print portions of the content solely for personal, non-commercial use.
- You may not modify or create derivative works from the Services.
- You may not remove or alter any copyright, trademark, or other notices.
- You may not use data mining or similar techniques to extract data from the Services.
- You may only use the Services for their intended purpose.
- Unauthorized reproduction, distribution, or public display of the Services or any content is prohibited.
Your Responsibilities
You represent that your use of the Services and its content will comply with the granted license and not infringe upon third-party rights or violate applicable laws.
Copyright Policy and Complaints

Advertisements, Promotions, and Third-Party Content
Kayyel may display advertisements and promotions from third parties on the Services. Your interactions with these third parties, including any business dealings, are solely between you and the third party. Any third-party content provided through the Services is for informational purposes only, and Kayyel does not endorse or guarantee the reliability, accuracy, or safety of such content. Descriptions, images, and references to third-party products or services are subject to change without notice.
Disclaimer of Warranties
While Kayyel strives to provide secure, timely, accurate, and complete Services, information provided may be incorrect or outdated. Kayyel cannot guarantee uninterrupted or error-free access to the Services or the absence of security intrusions. It is your responsibility to implement appropriate security measures and maintain accurate data. Products obtained through Kayyel Offers are not endorsed by Kayyel, and Kayyel assumes no responsibility for them or any resulting loss or damage. Kayyel is not liable for typographical errors, third-party promotions, or the presence of third-party advertisers. YOUR USE OF THE SERVICES AND CONTENT IS AT YOUR OWN RISK. THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, INCLUDING NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND FREEDOM FROM COMPUTER VIRUSES.
Limitation of Liability
KAYYEL, ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS ("KAYYEL PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, CONSEQUENTIAL DAMAGES, OR ANY LOSS OR DAMAGES WHATSOEVER ARISING FROM OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, CONTENT, OR APP. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CLAIM RELATING TO THE SERVICES OR CONTENT IS TO CEASE THEIR USE.
Indemnification
You agree to defend, indemnify, and hold harmless Kayyel, its affiliates, officers, agents, employees, and partners from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including attorneys' fees) arising out of or related to your violation of these Terms of Service, unauthorized use of the Services, violation of third-party rights, or any negligent acts or intentional wrongdoing.
User-Generated Content
You may submit User-Generated Content through the Services. By publicly posting User-Generated Content, you agree that it will be appropriate and relevant to the Services. Kayyel is not responsible for the accuracy or quality of User-Generated Content, and you release Kayyel from any liability relating to third-party User-Generated Content. User-Generated Content becomes the property of Kayyel, and Kayyel may, at its discretion, license, transfer, or share it with third parties for any purpose.
Linking and Third-Party Websites
The Services may contain links or connections to third-party websites or services. By accessing such third-party resources, you acknowledge the associated risks, and Kayyel is not responsible or liable for your use of third-party websites or services. Review the terms and conditions and privacy policies of third-party websites or services you visit. Your interactions with third parties are solely between you and them, and Kayyel bears no responsibility.
Termination and Account Inactivity
You have the option to withdraw from our Program or stop using the Services at any time by contacting us at support@kayyel.com. If you do not use the App for 90 days or more, your account will automatically become inactive. Kayyel reserves the right to terminate or suspend your use of the Services or your account if you violate these Terms. We will make reasonable efforts to provide advance notice of account termination, except in cases where it would be impractical, illegal, jeopardize safety or security, harm Kayyel's rights or property, or for other reasonable reasons. Kayyel may also cease providing the Services, in which case we will notify you at the email address you provided during registration and allow you thirty (30) days to make a redemption request. If no redemption request is made within the specified period, your entire Points balance will expire. Upon cancellation or inactivation of your account, any existing Points will automatically expire.
Assignment
You may not transfer, assign, or delegate these Terms or your rights or obligations without prior written consent from Kayyel. Kayyel reserves the right to transfer, assign, or delegate these Terms and its rights and obligations at its sole discretion.
Governing Law and Venue
These Terms are governed by and construed under the laws of [Saudi arabia and ADGM], without regard to its conflict of laws provisions. Any dispute arising from or related to these Terms shall be finally settled in a court of competent jurisdiction located in [Saudi arabia and ADGM]. The parties consent to the exclusive jurisdiction and venue of such courts.
Arbitration Agreement
All claims or disputes arising out of these Terms will be resolved through arbitration, rather than litigation. The arbitration will be conducted before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitration will take place in [insert jurisdiction], unless otherwise agreed. Both parties agree to bring any claim or dispute in arbitration on an individual basis and waive the right to participate in class or collective actions. Certain claims, such as small claims court actions or claims related to intellectual property rights, are excluded from this arbitration agreement.
Informal Resolution
Prior to initiating arbitration, the parties agree to engage in informal discussions for at least 30 days to resolve any issues. Written communication should be sent via certified mail to Kayyel, Inc., Legal Department, at the address provided. If an agreed-upon solution is not reached within the 30-day period, any claim arising from these Terms will be subject to arbitration.
